Board Of Directories(BOD)
7.2.1 The BOD number is five, three members are elected from the GA and two members are from
the board of founders.
7.2.2 The BOD member’s criteria are:
7.2.2.1 Education secondary level or equivalent
7.2.2.2 Basic knowledge of English language
7.2.2.3 At least three years experience of energy field.
7.2.2.4 Good communication and team work behavior skills
7.2.2.5 Must be known in SESDO working environment
7.2.3 The BOD positions are;
7.2.3.1 Chairperson
7.2.3.2 Vice chairperson
7.2.3.3 Treasurer
7.2.3.4 Secretary
7.2.3.5 Member
7.2.4 The purpose of the BOD is to be the organizations leading body
7.2.5 The BOD meetings quorum is 2/3 (three members)
7.2.6 The BOD is answerable to GA and supervises the Executive director.
7.2.7 BOD hires the Executive Director
7.2.8 If the member is elected three consecutive terms for the BOD, the member will not be elected
for the fourth term until another term (two years round passes), this article is effective starting
from 2006.
7.2.9 The BOD are elected by the GA
7.2.10 the responsibilities of the BOD are
7.2.10.1 Making decision above day to day activities
7.2.10.2 Developing organizational policies.
7.2.10.3 Approving the budget.
7.2.10.4 Organizing GA meetings
7.2.10.5 If the GA meeting fails to take place in the planed date the BOD can postpone the meeting
from fifteen days to three months with a reasonable justification and correspondence to the GA
and founders.
7.2.10.6 Initiating the organizations strategic plan
7.2.10.7 Firing the ED will follow the organizational policies except the flowing events where BOD
will direct fire the ED without warning.
Corruption scandals with a clear witness.
Theft of organizational properties.
7.2.10.8 Approving heads of departments and projects
7.2.10.9 Local and Diaspora fundraising
7.2.10.10 overseeing the affairs of SESDO between two GA meetings
7.2.10.11 Approving support funds to the outside of organizational activities
7.2.10.12 Approving the programs and plan of action for the organization presented by ED
